Terms of Service
Last updated: September 2026
1. Agreement to Terms
By creating an account or using UGC at ugc.africa, you agree to these Terms of Service ("Terms") and our Privacy Policy. These Terms form a binding agreement between you and us - UGC Ltd. and its global affiliate Flywox Inc (together, "we", "us", "our"). We operate as a digital creative agency and the merchant of record for all transactions on the platform.
If you do not agree to these Terms, please do not use the platform.
2. Eligibility
- You must be at least 18 years of age to use UGC.
- UGC is global. Creators and advertisers already join from dozens of countries worldwide. Advertisers can fund from anywhere; creators join wherever we can pay you out. Reach already crosses borders.
- Advertiser accounts are open globally with no country restriction.
3. Your Account
- You are responsible for keeping your login credentials secure and for all activity under your account.
- You must provide accurate information during signup and keep your profile up to date.
- One person may not maintain multiple accounts to circumvent platform rules, trust limits, or payout restrictions.
4. Acceptable Use
You agree not to:
- Submit false, misleading, or fraudulent information.
- Fabricate view counts, manipulate campaign metrics, or abuse the earnings system.
- Upload or distribute prohibited content (see our Content Policy).
- Harass other users, spam, or attempt to circumvent security features.
- Use the platform for any unlawful purpose.
Violations may result in suspension, forfeiture of pending earnings, and permanent removal from the platform.
5. Creator Terms
If you use UGC as a creator, the following also apply:
- You operate as an independent contractor and vendor engaged directly by us to fulfil content delivery services. You are not our employee.
- You must comply with the terms of service of any social platform you post on.
- You must post campaign content accurately as briefed. Misrepresenting content or gaming metrics is subject to our integrity rules (Section 7).
- You retain ownership of your social media accounts. UGC makes no claim on your accounts, followers, or content outside campaign slots you accept.
- Where UGC provides pre-produced brand content, you confirm you have the right to publish it for distribution purposes only.
- Earnings are calculated on verified views tracked by our system. Your dashboard balance represents our payable vendor disbursement to you for services rendered, subject to the payout terms in your creator agreement.
6. Advertiser Terms
If you use UGC as an advertiser, the following also apply:
- You warrant that all uploaded content is lawful, does not infringe third-party intellectual property, and does not include prohibited material.
- You confirm campaign content complies with advertising standards and applicable laws in your target countries, including ARCON requirements where relevant.
- You are purchasing content and distribution services directly from us. Campaign packages are prepaid, and all payments constitute direct revenue to us. Refunds for unspent budget on cancelled campaigns follow the refund policy in your advertiser agreement. Post-fulfilment payment chargebacks are governed by Section 8.
- View count disputes must be raised through platform support within 14 days of the campaign report - not via payment chargebacks (see Section 8).
- Political, electoral, and civic campaigns are permitted but always require enhanced manual review. You warrant sponsor disclosure, truthful claims, and compliance with election-advertising rules in every target market (see our Content Policy).
- Campaign CPM rates are set by you as the advertiser and vary per campaign. UGC does not guarantee a minimum or maximum CPM rate, specific view volumes, or campaign performance outcomes.
- The withdrawal minimum for creators may be adjusted by UGC during promotional periods or market expansions without prior notice.
7. Creator Integrity
UGC has zero tolerance for fraud, view manipulation, or any attempt to game the platform or defraud advertisers. This section applies to all creators.
You must not:
- Manipulate, artificially inflate, or misrepresent views, engagement, or campaign performance.
- Submit false, duplicate, or misleading slot or post information.
- Remove or hide campaign content before you have fulfilled your obligations under an accepted slot.
- Defraud advertisers, other users, or the platform in any way.
- Use additional accounts, identities, or workarounds to evade restrictions or abuse the earnings system.
We take integrity violations seriously. Depending on severity and history, we may warn you, restrict or withhold earnings, suspend your account, or permanently terminate your access. Earnings linked to a violation may be forfeited. We enforce these rules at our discretion and do not publish our detection methods or internal enforcement thresholds.
Where an appeal process is available, we will tell you how to use it when we notify you of an enforcement action. Decisions on severe or repeated violations may be final, except where applicable law requires otherwise.
8. Advertiser Payments & Chargebacks
Campaign services are prepaid. When you purchase a campaign package from us, you confirm you are authorized to use the payment method and that you understand distribution may begin once the campaign goes live.
By using UGC as an advertiser, you agree not to initiate card chargebacks or payment-provider disputes to recover payments for services once distribution has been delivered or is in progress, except where applicable law requires otherwise.
When creators have broadcast campaign content and the distribution you paid for has been fulfilled, your prepaid budget is payment for services rendered. Using a chargeback in that situation is a breach of these Terms - not a legitimate refund request.
Legitimate concerns about campaign performance, delivery, or view reporting must be raised through platform support within 14 days of the campaign report. That is the correct channel - not your card issuer or payment provider.
You authorize UGC to use platform records, campaign data, and payment authentication evidence to respond to improper chargebacks and payment disputes with your payment provider.
A breach of this section may result in immediate suspension or permanent termination of your account, cancellation of in-flight campaigns, and liability for disputed amounts, chargeback fees, and losses we incur - in addition to any other remedies available under these Terms.
9. Developers & API Access
If you activate developer or partner access - including the Integration Partner or AI Agent Developer tracks, API keys, webhooks, automation connections (such as Zapier, Make, or n8n), MCP access, or agent credentials - this section also applies. Activating that access means you agree to this section and our Content Policy (the Platform Usage Policy referenced at activation), in addition to the rest of these Terms.
- Credentials. You are responsible for all API keys, OAuth tokens, agent credentials, and webhook endpoints issued to or configured by you. Keep secrets confidential. Activity performed with your credentials is treated as your activity.
- Same rules via API. Creating or funding campaigns, reading slots, or submitting data through the API, MCP, or automation tools does not reduce your obligations. Advertiser and content rules in these Terms and the Content Policy still apply. Programmatic access is not a way to skip content review or compliance checks.
- Fair use. You must not abuse rate limits, scrape the platform, attempt to bypass security or review controls, reverse engineer protected systems beyond what the published APIs allow, or use the APIs for any unlawful purpose.
- Webhooks and data. If you receive webhook events or API responses, you must secure your endpoints, keep payloads confidential, and use the data only to operate your integration. Do not resell, misuse, or expose personal or campaign data obtained through the API.
- Partner commissions. Where a referral or partner commission program applies, eligibility, rates, and payout terms are set by us and may change. Commissions are not guaranteed and may be withheld or reversed for fraud, chargebacks, policy breaches, or self-referral abuse.
- Third-party tools. If you connect Zapier, Make, n8n, or other third-party services, you remain responsible for those connections and for complying with those providers' terms.
- Suspension. We may throttle, revoke credentials, disable webhooks, or terminate developer access immediately if we reasonably believe you have breached these Terms, abused the APIs, or created risk to users, campaigns, or the platform.
Developer documentation describes available features. Feature availability may depend on account type, partner track, and enabled product features. Documentation is not a warranty of uninterrupted access or of any particular feature set.
10. Intellectual Property
The UGC name, logo, and platform are our intellectual property and that of Flywox Inc. Nothing in these Terms grants you a licence to use our trademarks, branding, or technology beyond what is explicitly permitted. API access does not transfer ownership of our platform, documentation, or trademarks.
11. No Warranties
THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT UNINTERRUPTED SERVICE, ERROR-FREE OPERATION, OR ANY PARTICULAR LEVEL OF CAMPAIGN PERFORMANCE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED $100 USD (OR THE EQUIVALENT IN YOUR LOCAL CURRENCY).
13. Indemnification
You agree to indemnify and hold harmless us and our respective officers, employees, and agents from any claim, damage, or expense (including reasonable legal fees) arising from your breach of these Terms or misuse of the platform, including misuse of APIs, credentials, webhooks, or connected third-party tools.
14. Governing Law
These Terms are governed by applicable law. For users in Africa, disputes shall be subject to the jurisdiction of the courts where we are registered. For international users, disputes may be resolved by binding arbitration under internationally recognised rules via our global affiliate, Flywox Inc. We will always try to resolve disputes informally first - please contact us before initiating formal proceedings.
15. Changes to These Terms
We may update these Terms at any time. Material changes will be communicated by email or in-app notice. Continued use of the platform after notification means you accept the updated Terms.
